Upon purchase of ITPS (Canada) Ltd. program / class, ITPS (Canada) Ltd. grants you a limited, non-exclusive, non-transferable, license to access the ITPS (Canada) Ltd. content purchased (only) and view your course(s) for that purpose. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for public performances. The length of time in which you shall be permitted access to a particular course / class will be set out in the program description / materials, and shall not be extended. Notwithstanding the foregoing, ITPS (Canada) Ltd. may revoke your license at any time in its sole discretion. REGISTRATION OBLIGATIONS

You may be required to register with ITPS (Canada) Ltd. in order to access and use certain features of ITPS (Canada) Ltd. Offerings. If you choose to register, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the ITPS (Canada) Ltd. Web Site’s registration form. MEMBER ACCOUNT, PASSWORD AND SECURITY

COURSES AND CERTIFICATES

ITPS (Canada) Ltd. does not verify, vet, or guarantee that any participant of a course is qualified to take such course; and no refund will be provided in the event that a participant fails to properly satisfy himself or herself of the appropriateness of a particular ITPS (Canada) Ltd. course / class prior to enrollment.

ITPS (Canada) Ltd. courses / classes may provide for a certificate of completion, upon the successful completion of said course / class; and successful completion may require successful completion of an examination or test, in accordance with ITPS (Canada) Ltd.’s program guidelines; all of which is at the sole discretion of ITPS (Canada) Ltd..

ITPS (Canada) Ltd. course / class content, and any related completion requirements, are subject to change from time-to-time, at the sole discretion of ITPS (Canada) Ltd.. No change in content or completion requirements will entitle participants to a refund, except in the sole discretion of ITPS (Canada) Ltd..

USE OF COMMUNICATION SERVICES

The ITPS (Canada) Ltd. Offerings may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services”), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. ITPS (Canada) Ltd. reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in ITPS (Canada) Ltd.’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. INDEMNITY AND RELEASE

To the fullest extent permitted by law, you agree to release, indemnify and hold ITPS (Canada) Ltd. and its affiliates and their officers, employees, directors and agent harmless from any from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the ITPS (Canada) Ltd. Web Site, any Submissions, your connection to the services, your violation of these Terms of Use or your violation of any rights of another. If applicable, you waive any statue or doctrine which provides that: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor” or any similar or comparable statute or doctrine.

IN NO EVENT ITPS (CANADA) LTD.’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID ITPS (CANADA) LTD. IN THE SIX (6) MONTHS PRIOR TO MAKING A CLAIM, OR, IF GREATER, ONE HUNDRED CANADIAN DOLLARS (CAN $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

TERMINATION/ACCESS RESTRICTION

ITPS (Canada) Ltd. reserves the right, in its sole discretion, to terminate your access to the ITPS (Canada) Ltd. Web Site and the related services or any portion thereof at any time, without notice.

You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software. These Terms of Use will be governed by the laws of Ontario and the laws of Canada applicable therein, and you hereby consent to the exclusive jurisdiction and venue of courts in London, Ontario, Canada, in all disputes arising out of or relating to the use of the ITPS (Canada) Ltd. Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation this paragraph. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and ITPS (Canada) Ltd. with respect to the ITPS (Canada) Ltd. Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and ITPS (Canada) Ltd. with respect to the ITPS (Canada) Ltd. Web Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in the English language.
